These Terms of Service (the “ToS”) apply to the usage of the Platform (defined hereinafter) and the services offered by Appatio Edtech (“Appatio Edtech,” “we,” or “us”), a private limited company incorporated under the Companies Act, 2013, as amended, and having its registered office at Greater Noida, Gautam Budh Nagar, Uttar Pradesh 201308, India. Appatio Edtech conducts its business under the brand titled “Appatio Edtech.” These Terms of Service shall mutatis mutandis apply to mobile apps, WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications, and other communication forums/media hosted by Appatio Edtech, which shall be deemed to be part of the Platform (defined hereinafter). Your usage of the Appatio Edtech Services (defined hereinafter) is subject to your explicit acceptance of these ToS. The terms contained in our privacy policy available at (“privacy policy”), or any other policy of Appatio Edtech related to its Services are incorporated into these ToS by this reference. Your acceptance of the same will irrevocably and unconditionally bind you to comply with and abide by all the obligations and conditions stipulated herein (unless otherwise explicitly made optional). After your initial confirmation/consent, you will be assumed to continue consenting to these ToS until you explicitly withdraw your consent by notifying Appatio Edtech of the same in writing. If an executed agreement exists between You and Appatio Edtech in relation to its Services, any deviations from these ToS shall only apply when explicitly agreed in writing between the parties to such an agreement. IF YOU DO NOT AGREE TO BE BOUND BY ALL CONDITIONS/CLAUSES CAPTURED IN THESE TOS, PLEASE DO NOT USE THE PLATFORM OR SERVICES.

Updation of Terms These ToS may be updated, amended, modified or revised by us from time to time. Each such updation or modification to the ToS will be communicated to you via email, through the Website or any other medium. Your continued use of the Appatio Edtech Services after any such changes shall constitute your consent to such changes. We encourage you to refer to these ToS from time to time to ensure that you are aware of any additions, revisions, amendments or modifications that we may have made.

Service(s) provided to Users: Appatio Edtech allows its users to access various training programs on computer sciences designed by Appatio Edtech for undergraduates and professionals, including or any other program or application that Appatio Edtech introduces from time to time (hereinafter collectively referred to as “Service(s)” or “Appatio Edtech Service(s)” and each of these training programs shall be referred to as a “Program” and collectively as “Programs”). Appatio Edtech reserves the right, in its sole discretion, to add, change, suspend, or discontinue all or any part of its Services at any time. Your continued use of Appatio Edtech Services following the posting of any changes to the same (including the addition or removal of features) constitutes your acceptance of those changes. Any information you provide to us for the purposes of registering and setting up your account (as specified below) shall be considered as accurate, complete and updated. You are solely responsible for the activity that occurs on your account (including those of others authorized to access and operate your account) and for maintaining the security of your account and any information you input. We are not responsible for the accuracy or legitimacy of any information, data, or User Data uploaded or posted on the Platform. For the purposes of clarity, as long as your account is accessed with the correct login credentials and unless you notify us of any unauthorized access, you shall be solely responsible for all actions/defaults related to your account.

In consideration of your acceptance of these ToS and if applicable, any subscription agreement (or any other similar agreement) executed between you and Appatio Edtech, Appatio Edtech grants the User a personal, non-exclusive, non-transferable, non-sublicensable, revocable limited license to access and use the Platform and Services, in accordance with the ToS.

Registration and Account Integrity As part of the registration process, you will need to accept our ToS, and also provide us with your name, your phone number, your email ID and in certain scenarios, contact information of your parents/guardian. We would not at any time request you to provide us with access to your password, unless you have given us explicit written permission to access your account pursuant to a request for assistance or support.

It is your responsibility to ensure that the information you provide is accurate, secure, and not misleading. You cannot create an account username and password using (i) the names and information of another person; or (ii) using words that are the trademarks or the property of another party (including ours); or (iii) words that are vulgar, obscene or in any other way inappropriate. You agree and confirm that you will never use another User’s account nor provide access to your account to any third-party. You agree and acknowledge that you are solely responsible for the activities that occur on your account, and you shall keep your account password secure and not share the same with anyone. You must notify Appatio Edtech immediately of any breach of security or unauthorized use of your account. At no point in time will Appatio Edtech be liable for any losses caused by any unauthorized use of your account, and you shall solely be liable for the losses caused to Appatio Edtech or others due to such unauthorized use, if any.

You shall be solely responsible for obtaining and maintaining any equipment or ancillary services necessary to connect to, access, receive Appatio Edtech Services or use the Platform, including, without limitation, hardware devices, software, and other internet, wireless, broadband, phone or other mobile communication device connection services. You shall be solely responsible for ensuring that such equipment or ancillary services are compatible with the Platform, and you shall be responsible for all charges incurred in connection with the use of the Platform or Appatio Edtech Services in connection with all such equipment and ancillary services.

Use of your Information and User Data: All User Data that you create, transmit, transfer to us, submit, display or otherwise make available while using Appatio Edtech Services, should only be information that you own or have the right to use or share (as may be applicable). If you transfer any personally identifiable information to us, we will assume that you have informed the person concerned and procured the necessary consent for such transfer, sharing, processing and/or using the information on the Platform and/or in respect of the Services. We may use the above information as per our Privacy Policy and in accordance with applicable laws.

While we make commercially reasonable efforts to ensure that the data stored on our servers is persistent and always available to our Users, we will not be responsible in the event of failure of the third-party servers or any other factors outside our reasonable control, that may cause the User Data to be permanently deleted, irretrievable, or temporarily inaccessible.

Third Party Links and Services: We use multiple third-party service providers in order to power and provide you with the Appatio Edtech Services. In this process, we share the User Data with some of the third-party service providers, as is necessary to enable them to provide the requisite services. We will attempt to ensure that all our third-party service providers are bound by and adhere to the same obligations of confidentiality and data privacy as we guarantee to you. The Platform may include hyperlinks to other web sites or content or resources. We have no control over any websites or resources provided by third parties. You agree that we will not be responsible for the availability of any external websites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such websites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such website or resource.

Appatio Edtech’s Proprietary Rights All trademarks, service marks, logos, trade names and any other proprietary designations of Appatio Edtech used herein are trademarks or registered trademarks of Appatio Edtech. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties.

You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, or visual design elements or concepts without express written permission from Appatio Edtech.

You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Platform or the Appatio Edtech Services, in any manner, and you shall not exploit the Platform in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity. You agree that you will not use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Platform or any activities conducted on the Platform; or (iii) bypass any measures we may use to prevent or restrict access to the Platform.

Any unauthorized use of the Appatio Edtech Services or the Platform terminates the license granted by Appatio Edtech hereunder and violates applicable law.

You agree that you will not use any information obtained from the Platform in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to another person outside of the Platform without our prior written consent.

Feedback: We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform and Services (“Feedback”). You may submit Feedback by emailing us, through the “Contact” section of the Platform, or by other means of communication. You acknowledge and agree that all Feedback you provide will be the sole and exclusive property of Appatio Edtech and you hereby irrevocably assign to Appatio Edtech and agree to irrevocably assign to Appatio Edtech all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein, and waive any moral rights you may have in such Feedback. At Appatio Edtech’s request and expense, you will execute documents and take such further acts as Appatio Edtech may reasonably request to assist Appatio Edtech to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.

Disclaimer of Warranties The Appatio Edtech Services, including the Platform, and all information, content, materials, products (including software) and other services included on or otherwise made available to you through the Appatio Edtech Services are provided by Appatio Edtech on an “as is” and “as available” basis, unless otherwise specified in writing. Appatio Edtech makes no representations or warranties of any kind, express or implied, as to the operation of the Appatio Edtech Services, or the information, content, materials, products (including software) or other services included on or otherwise made available to you through the Appatio Edtech Services, unless otherwise specified in writing. You expressly agree that your use of the Appatio Edtech Services is at your sole risk.

To the full extent permissible by applicable law, Appatio Edtech disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Appatio Edtech does not warrant that the Appatio Edtech Services, information, content, materials, products (including software) or other services included on or otherwise made available to you through the Appatio Edtech Services, Appatio Edtech’s servers or electronic communications sent from Appatio Edtech are free of viruses or other harmful components. Appatio Edtech will not be liable for any damages of any kind arising from the use of any Appatio Edtech Service, or from any information, content, materials, products (including software) or other services included on or otherwise made available to you through any Appatio Edtech Service, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.

Limitation of Liability: You expressly understand and agree that Appatio Edtech shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any other damages whatsoever, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Appatio Edtech has been advised of the possibility of such damages), arising out of, or resulting from: (i) the use or the inability to use the Appatio Edtech Services; (ii) the use of any content or other material on the Appatio Edtech Services or any website or websites linked to the Appatio Edtech Services; (iii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Appatio Edtech Services; (iv) unauthorized access to or alteration of your transmissions or data; (v) statements or conduct of any third party on the Appatio Edtech Services; or (vi) any other matter relating to the Appatio Edtech Services, including but not limited to any User Data. In no event shall Appatio Edtech’s total liability to you for all damages, losses, and causes of action (whether in contract, tort including but not limited to negligence, or otherwise) exceed the amount paid by you, if any, for accessing the Appatio Edtech Services during the twelve (12) months immediately preceding the date of your claim.

Indemnification: You agree to defend, indemnify and hold harmless Appatio Edtech and its officers, directors, employees, agents, affiliates, representatives, sublicensees, successors, and assigns, from and against any and all claims, actions, demands, liabilities, judgments, and settlements, including, without limitation, reasonable attorneys’ fees and costs, arising out of or relating to your (i) breach of any provision of these ToS, (ii) violation of any applicable law, regulation, or rights of any third party, (iii) use or misuse of the Appatio Edtech Services, or (iv) any User Data you transmit or upload or your violation of any rights of another.

Applicable Law and Dispute Resolution: These ToS shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these ToS, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually by the Parties. The seat and venue of arbitration shall be Bangalore, India. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding on the Parties.

Refund Policy:

Appatio Edtech shall not be liable to refund any fees or consideration collected from a Customer if such Customer’s access to the Platform is terminated by Appatio Edtech for any reason detailed herein.

When a customer purchases products or services from Appatio Edtech, the purchase is not entitled to any refund. For instance, if a customer buys any online batch or service, it is deemed non-refundable.

Pause Feature:

Appatio Edtech understands that learners may have varying needs regarding the pace and workload of our programs. As such, we offer a “Pause” feature for learners enrolled in the Appatio Edtech Programs. This feature allows learners to pause their program for a maximum of one (1) months throughout the program’s duration. During the pause period, learners will retain access to previous recordings and doubt resolution services. However, no new lectures will be added during this time. Should a learner wish to pause their program beyond the specified one (1) months, each additional month of pause will incur a charge determined by Appatio Edtech at its discretion. This charge may be subject to updates over time and excludes applicable taxes. Approval from Appatio Edtech is required for any extended pause beyond the initial one (1) months.
